An outsourcing agreement where a company provides administrative HR services but the client remains the employer of record.

An Administrative Services Organization (ASO) is an outsourcing partner that manages human resources, payroll, benefits administration, and regulatory compliance for a client company. Unlike a Professional Employer Organization (PEO), an ASO does not establish a co-employment relationship. Under an ASO agreement, the client company remains the sole employer of record, retaining all employment-related liabilities, tax registrations, and insurance responsibilities. For investors, understanding the mix between ASO and PEO services is crucial when evaluating Human Capital Management (HCM) and payroll software companies. ASO services typically generate lower revenue per employee than PEO services because they do not bundle insurance and workers' compensation. However, because the provider does not assume employment liabilities, ASO models carry significantly lower operational, underwriting, and credit risks, resulting in highly predictable service-fee margins. When analyzing HCM providers, a shift in the customer mix toward ASO services generally signals a lower-risk, lower-revenue, but potentially higher-margin profile. Conversely, a shift toward PEO services increases top-line revenue and gross merchandise metrics but exposes the provider to underwriting risks associated with health insurance and workers' compensation claims.

Company A has 100 employees and hires an HR provider under an ASO model. The provider charges a flat administrative fee of $50 per employee per month. Company A's annual administrative cost is 100 employees $50 12 months = $60,000. Because this is an ASO, Company A still pays its own payroll taxes and health insurance premiums directly under its own Federal Employer Identification Number (FEIN).
